What do you like best about Datasite Diligence?

I was responsible for uploading documents (2,000 or more) into the data room for our acquisition deal last year. The experience of uploading documents allowed me to learn how Datasite works.

One thing that surprised me was how well organized the data room was (i.e., there were folders for employment agreements, customer contracts, leases, IP assignments, etc.). You drag and drop the documents into the respective folders, and the folder structure remains intact. That means no more losing files.

What I appreciated later was the ability to track activity in the data room. For example, our legal team needed to prove that a specific buyer viewed a specific document before an agreement was executed (i.e., regarding a dispute about a clause). The buyer said they did not see the clause. I logged into Datasite, generated a report, and found the buyer's IP address, date, and time, as well as the length of time they spent reviewing the document. That was about a 5-minute resolution.

I also want to point out that search capability was excellent. You can search the contents of documents, not just the file names. When you need to find "all instances of 'warranty'" among thousands of PDF documents, the search function saved us hours upon hours of work. Review collected by and hosted on G2.com.

What do you dislike about Datasite Diligence?

It's not perfect. I can tell what:

First: uploading large files is slow. We had some contracts scanned as massive PDFs hundreds of pages each. Uploading them felt like watching paint dry. Sometimes the upload would just fail and I'd have to restart. Someone on our team ended up splitting files into smaller chunks just to get them up faster .

Second: permissions can get tangled. We had different buyer teams who needed access to different folders. One group could see everything. Another could only see finance docs. Setting that up required clicking through multiple screens and double-checking everything. If you made a mistake, someone might see something they shouldn't. Our admin spent two full days just on permissions .

Third: the login process is clunky. Every time I accessed the data room, I had to go through two-factor authentication. I know that's a security thing, and I get why it's there. But when you're in a hurry and just need to grab one file, waiting for a text code then typing it in gets old fast .

Fourth: the Q&A module felt like an afterthought. During due diligence, buyers had questions about documents. The Q&A tool was supposed to track those. But questions sometimes got buried, and you couldn't hide answered ones without creating weird workarounds. While the platform is powerful, there are a few areas that could be improved. Firstly, the pricing structure is quite premium, which might be a barrier for smaller-scale operations or shorter projects that don't require the full suite of features. Secondly, although the user interface is generally clean, the learning curve for the more advanced administrative tools can be a bit steep for new users who aren't tech-savvy, requiring more time for onboarding than expected.

​I also noticed that when dealing with massive datasets, the bulk upload feature can occasionally experience latency issues, which slows down the workflow during tight deadlines. Additionally, the mobile experience, while functional, doesn't feel as robust or fluid as the desktop version, making it slightly difficult to review urgent documents on the go. I love that Datasite Diligence gives me confidence during high-pressure due diligence because everything feels structured, controlled, and reliable when it matters most. I really appreciate how Datasite Diligence saves me time on tasks like uploading documents, redacting sensitive information, and tracking Q&A responses. The ease of use, compared to other VDR products, stands out with its intuitive UI and faster portal speed. It makes my life easier and helps my team complete diligence faster. I find the redaction tools, which allow me to redact multiple files at once, very effective. The built-in AI chat bot is a great feature for on-demand support, and all necessary settings and tools are easily accessible, requiring minimal onboarding. Fast customer service is a huge plus—having a designated rep and live support staff available anytime has been incredibly valuable. The initial setup was incredibly quick, only taking minutes. I think the redaction tool could be used to group more documents at once together and maybe using AI to better identify areas that should be redacted that you might have missed based on the types of information and detail you've already marked for redaction in that document or similar documents. What do you dislike about Datasite Diligence?

I don't wish to have multiple micro bifurcation. If I am reviewing some data about contracts, I don't need a filter which refines and defines the currency that whether the contract value is in GBP or pound or INR. That filter really doesn't matter. What I would be most concerned about is having a filter that can help me differentiate on list all queries, like listing all the contracts which have a limitation of liability clause of two x.
