Datasite Diligence Virtual Data Room Pros and Cons

I like the layout and some of the functionalities, such as the option to review the documents by the date they were available in the VDR. During long term DD, this functionality is very helpfull, because it allows the reviwers to know what was disclosed cronologically. The research function is very good also. Other positve point is the possibility to download documents in .zip folders and name the documents with their location in the VDR. The pre-view of the document is very usefull in cross boarder DDs; Another good functionality is the daily e-mails we receive containing a summary of the documents made available each day. I work in the diligence space and have access to multiple datarooms from 100+ transactions that I do throughout the year. Between myself and my peers, Datasite is widely considered the best online VDR. It's incredibly practical, very fast, and is typically the prime choice of VDR for most of the transactions that I'm on annually. Uploading information is very easy, the software is very secure, and I've never honestly had an issue that I've needed to reach out to customer support for. I think it easy to upload it files into the VDR, and most importantly it is easy to sort and find files once they are posted in the VDR. It is also easy to teach someone how to use and navigate it, this is helpful as some VDR end up having a lot of users in it. Building a dashboard within the VDR can be confusing at times, the dashboards also don't always look as sharp as one would want them too. This is one of the features that I tend to stay away from. Having used several VDR vendors before, Datasite likely is my top choice purely from an ease of use perspective and the least likely to cause headaches when handing off responsibilities for overseeing the VDR process (permissioning, uploading, removing files/people), etc. Basically, a good VDR should cause you no problems -- a great VDR should actually make your life easier -- Datasite does both Review collected by and hosted on G2.com.

Honestly, not much -- I think there is probably a case to be made about more configurable layouts...I don't need a sandbox or a staging room or the need to flip on/off publishing -- sometimes I do sometimes I don't, so being able to make it more simpler or more complex would be helpful Review collected by and hosted on G2.com.

Permissions can get a bit tricky with all the different options available (by buyer, by file, etc) so is sometimes overwhelming. The default to turn Word documents into PDFs can also be a hindrance. Review collected by and hosted on G2.com.

Among the different VDR providers out there this is one of the stronger ones. It's service is very professional and quick to respond. From contact to having a VDR set up, it's very very fast. Especially as a junior that is frequently using this service, I'm pretty content with it. It's very ease to set up a sandbox and also stage quickly. It's also rarely down or under construction. I think the UI can be updated. It feels quite outdated compared to Intralinks. It makes it less than intuitive than I would expect from a service this widely used. It can be confusing how to do certain things. I also think the app is not quite there. There is quite a bit they can do to make UI better on the web to make it more competitive. Sometimes the project names can be a bit difficult to find when sending out the original invite from the datasite email. Unless I file the invite email accordindly, it is hard to differenciate which project the invite coorelates to. Review collected by and hosted on G2.com.

I find Datasite to be intuitive, seamless and reliable. Features and functionality are top-notch. We often run large M&A processes with multiple bidders requiring different levels of access and thousands of files. Datasite allows us to manage bidders effectively, track their access and easily create summary reports that the whole deal team relies upon. It's also easy to search for content, and the Q&A function is extremely useful.

Datasite is very intuitive to use for all of its functionalities including uploading and preparing files, managing access rights, Q&A, etc. In theory a good VDR should support the process, not become the process and Datasite does it well. The platform is extremly intuitive and easy to use. This makes my life as an analyst ten times easier. I recently used the Q&A tool which I found to be very effective to conduct DD with different buyer groups. It is easy to get set up on the platform and launch a project. Sometimes the robotic / AI customer service is not very useful and most of the time the only thing that works is connecting to a real agent.
